General Conditions for the Supply of Goods (For In Branch and Online Trading)

1. Definitions & Interpretation
1.1 In the context of these conditions:
"Company" means Merritt & Fryers Ltd, Firth Street Works, Skipton, North Yorkshire, BD23 2PX.
"Customer" means any individual, firm, partnership, company or organisation purchasing Goods from the Company, whether in branch or online.
"Goods" means all products, materials or items supplied by the Company.
"Order" means any order placed by the Customer via the Website, by email, by telephone, or in branch.
"Price" means the price payable for the Goods, including any Additional Charges.
"Additional Charges" include delivery charges, packaging, pallet charges, restocking fees, surcharges, taxes, and any other costs arising under these Conditions.
"Special Order Goods" means non stock, bespoke, cut to size, tinted, or supplier direct items ordered specifically for the Customer.
"Working Day" means Monday to Friday excluding public holidays in England.
"Website" means www.merrittandfryers.co.uk.
1.2 These Conditions apply to all sales and override any terms proposed by the Customer unless expressly agreed in writing by a Company Director.
1.3 Reference to one gender includes reference to the other and neutral.
1.4 Reference to 'in writing' includes communication by e-mail and post. It does not include text messages.
2. Basis of Contract
2.1 All Orders are subject to acceptance by the Company.
2.2 A contract is formed only when the Company:
- confirms the Order in writing, or
- dispatches the Goods,
- whichever occurs first.
2.3 Any quotation is valid for 28 days unless otherwise stated.
2.4 The Company may correct any clerical or typographical errors without liability.
2.5 No employee or agent has authority to vary these Conditions unless confirmed in writing by a Company Director.
2.6 Orders for Special Order Goods cannot be cancelled once placed.
3. Prices
3.1 Prices may be adjusted at any time to reflect:
- supplier increases
- market fluctuations
- fuel surcharges
- changes in tax or duty
- errors or omissions
3.2 Prices shown online are indicative only until the Order is accepted.
3.3 VAT is charged at the rate applicable at the date of dispatch.
3.4 Additional Charges may apply for:
- delivery
- packaging
- pallets
- re delivery
- storage
- restocking
- card surcharges (where applicable)
4. Packaging & Pallets
4.1 Packaging is at the Company's discretion.
4.2 Pallet charges may apply and may be refundable only if returned in good condition.
4.3 Special packaging requested by the Customer will incur Additional Charges.
5. Payment Terms
5.1 Online orders must be paid in full at checkout.
5.2 Trade credit accounts must be paid strictly nett monthly, due by the last day of the month following supply.
5.3 Overdue accounts may incur:
- interest at 4% above Barclays Bank Base rate,
- compensation and recovery costs under the Late Payment of Commercial Debts Regulations,
- suspension or withdrawal of credit facilities.
5.4 The Company may allocate payments against the oldest outstanding invoices.
5.5 Queries must be raised before the invoice due date.
